The ThinkRelo.com^TM Referral Program - Terms and Conditions of Use

RingSites.com Ltd. is the sole owner of ThinkRelo.com^TM and operates under that tradename. As such, ThinkRelo.com^TM is wholly owned by RingSites.com Ltd. All ThinkRelo.com^TM Members are subject to all membership terms and all terms of service including the terms of this Referral Agreement. The term "Member" refers to you (the applicant). Whenever the word "you" or "your" is used it refers to the Member or Applicant. The word "we" means ThinkRelo.com^TM This Agreement lays out the terms for your general membership in the ThinkRelo.com^TM Referral Program. In order to activate the Advertisers' Affiliate Program you also must agree to the RingSites.com Ltd. Membership Program Agreement located here. You will be given the opportunity to review it at the bottom.

PLEASE READ THIS AND ALL OTHER AGREEMENTS CAREFULLY BEFORE YOU AGREE TO BECOME A MEMBER OF THE ThinkRelo.COM^TM REFERRAL PROGRAM. IN COMPLETING AND SUBMITTING THE MEMBERSHIP FORM YOU ARE AGREEING TO THE FOLLOWING CONDITIONS OF MEMBERSHIP IN THE ThinkRelo.COM^TM REFERRAL PROGRAM. IF YOU DO NOT AGREE TO ALL THE TERMS OF THIS AGREEMENT AND OUR POLICIES, ThinkRelo.COM^TM WILL NOT LET YOU BECOME A MEMBER OF THE ThinkRelo.COM^TM REFERRAL PROGRAM.

1. You are of legal age to take part in the state, province or country in which you reside.
2. You are legally entitled to sell, market, distribute, deal with, negotiate, or act on behalf of purchases of property in the jurisdiction which you claim as your principle location and market.
3. You will have agreed to, and agreed to abide by, all ThinkRelo.com^TM agreements relating to Membership.
4. You will only be entitled to referral commissions so long as you are an active, fully-paid Member of ThinkRelo.com. If for any reason your Membership terminates or is terminated you will immediately notify us and your Referral payments will be suspended. All commissions accrued will be forfeit if your Membership is revoked.
5. You will not obtain any territorial exclusivity by becoming a Member in the ThinkRelo.com^TM Referral Program.
6. Once you become a Member you will receive a username and password to access the Members' Area. The confidentiality of these is your full responsibility as well as all activities that occur under your password or account, whether or not actually or expressly authorized by you. If you discover a breach of security you must immediately notify us. You are responsible for logging off of the system when you are done and are fully responsible for any loss or damage caused by your failure to comply to these rules.
7. All communications between us, including invoices and receipts, will be conducted by email. You must maintain your email address active or notify us of any changes.
8. Members of ThinkRelo.com^TM may receive referral payments only for newly paid and processed Members. These payments will continue for so long as payments are earned and the Membership of the Member is in good standing. If the Membership is terminated by either you or us, your payments will cease and you will lose any and all rights to future payments that could have been earned if your were a Member.
9. You understand, acknowledge and expressly agree that ThinkRelo.com^TM and/or Ringsites.com Ltd calculate the amounts due and that the information provided by ThinkRelo.com^TM and/or RingSites.com Ltd. is to be considered full and exclusive evidence of any amounts due to you.
10. Your Membership is activated when you make your payment and your payment is accepted by ThinkRelo.com^TM. Any referrals made up to that time are not considered valid and will not be added to the amount due to you. YOU DO NOT RECEIVE CREDIT FOR REFERRALS UNTIL BOTH YOUR PAYMENT IS MADE AND IS ACCEPTED BY ThinkRelo.COM IRRESPECTIVE OF WHETHER THOSE MEMBERSHIPS ARE THE RESULTS OF YOUR EFFORTS.
11. You can purchase more than one Membership products from us but you will only be entitled to one commission. Multiple email addresses from the same address will be considered one address for the purpose of our System.
12. Any commissions or rewards earned are paid on a quarterly basis. We won't make any payments in a quarter unless the amount owing to you is $100 or more than the amount being heldback. If the amount owing to you is less than the required amount your payment will be carried over to the next quarter until the amount owing is over $100.00 or your Membership has been terminated. Under no circumstance is interest payable to a Member. You may select to have any referral commissions earned applied against future Membership payments.
13. We may change our method of payment at any time and your acceptance of this agreement constitutes your acceptance of those changes.
14. We will charge a Member Processing Fee of $2.00 that will be debited from your account in the quarter that any check is issued to you.
15. If needed you will provide with any information required from any legal taxing authority. Information may include, but in no will be limited to, social insurance or security numbers.
16. In consideration of your participation in the ThinkRelo.com^TM Referral Program, you grant us the universe wide, royalty free, perpetual, irrevocable, non-exclusive and fully sub licensable right and license to reproduce, modify, adapt, publish, translate, create derivative works from, distribute, perform and display submissions (ideas, suggestions, URL information, notes, drawings, concepts, or other information that you may provide to ThinkRelo.com^TM) on the ThinkRelo.com^TM and/or RingSites.com service and/or to incorporate it in other works in any form, media, or technology now known or later developed. None of the submissions shall be subject to any obligation of confidence on the part of ThinkRelo.com^TM, and ThinkRelo.com^TM shall not be liable for any use or disclosure of any submissions. ThinkRelo.com^TM reserves also the right to remove any content on hotrate.com that it deems objectionable.
17. We grant you a limited license to use the ThinkRelo.com^TM and RingSites.com trademarks and trade names solely for the purpose of seeking legitimate referrals to our Referral Programs. All use of the trademarks and trade names shall be for the sole benefit of us and you hereby agree to assign and do all things necessary to ensure that we receive the benefit of such use or required by us to protect our trademarks. We can revoke this license, in whole or in part, at any time, for any reason that we deem reasonable in our sole discretion. The improper use of our trademarks and/or trade names is strictly prohibited. If you violate this policy we can terminate your Membership without further cause and without notice to you. You will immediately cease your use of the trademarks and/or trade names immediately in that circumstance.
18. We reserve the right to terminate this program and all other programs at any time without notice. Upon termination all Member accounts will be closed and no further payments of any kind will be due to the Members. Any amounts remaining shall be immediately forfeit. Any overdue amounts will become immediately due and payable and accrue interest at the rate of 2.5% calculated and compounded monthly. You agree that in the circumstance of termination, you will have no claim whatsoever relating to the termination of the programs.
19. You agree to not use our service to: submit, post, email or otherwise transmit any content that is unlawful, harmful, threatening, abusive, harassing, tortuous, defamatory, vulgar, obscene, libelous, invasive of another's privacy, hateful, or racially, ethnically or otherwise objectionable; harm minors in any way; impersonate any person or entity, including, but not limited to, our employees or Members or Advertisers, or falsely state or otherwise misrepresent your affiliation with a person or entity; forge headers or otherwise manipulate identifiers in order to disguise the origin of any submission transmitted through the ThinkRelo.com^TM Service; submit, post, email or otherwise transmit any content that you do not have a right to transmit under any law or under contractual or fiduciary relationships (such as inside information, proprietary and confidential information learned or disclosed as part of employment relationships or under nondisclosure agreements); submit, post, email or otherwise transmit any Content that infringes any patent, trademark, trade secret, copyright or other proprietary rights of any party. submit, post, email or otherwise transmit any material that contains software viruses or any other computer code, files or programs designed to interrupt, destroy or limit the functionality of any computer software or hardware or telecommunications equipment; interfere with or disrupt the Service or servers or networks connected to the Service, or disobey any requirements, procedures, policies or regulations of networks connected to the Service; intentionally or unintentionally violate any applicable local, state, national or international law, including, but not limited to, regulations promulgated by the U.S. Securities and Exchange Commission, any rules of any national or other securities exchange, including, without limitation, the New York Stock Exchange, the American Stock Exchange or the NASDAQ, and any regulations having the force of law; "stalk" or otherwise harass another; or collect or store personal data about other users.
20. Any information or submissions from you to market this Referral Program or any other program of ThinkRelo.com and/or RingSites.com must not have been improperly copied from third parties.
21. If your account is terminated by us, you will not be allowed to become a Member again unless we formally agree to do so expressly, in writing, directly to you. You will also not be entitled to receive the remaining credits on your account and such credits will be forfeited.
22. You alone are solely responsible for any tax liability or financial or legal liability of any kind whatsoever that you incur by accepting payments from us. You also are liable for any duties owed to your employers or legal authorities that may be breached by accepting payments from us.
23. You acknowledge, agree and accept that we have not and will provide you with any legal, tax or accounting advice. You will not solicit such advice from us as you acknowledge that our employees are not entitled to give such advice.
24. If required by law, you specifically grant us the power and authority to access all of your records maintained with us, passworded or not, in order to disclose that information and to settle any potential claims of improper behaviour that may be in violation of this agreement. We have no obligation to you to disclose any such investigation.
25. We reserve the right to terminate the participation of any Member at any time without prior or written notification for any action we deem unacceptable in our sole discretion or which violates these terms.
26. Members may not use unsolicited email, Usenet, dmoz.org or message board postings to gather referrals unless such postings are specifically authorized by the participants of that group. We can and will terminate the Membership of any Member who in our reasonable opinion has used unsolicited mail to gain referrals. The effects of termination is the loss of any referral credits you may have earned if this rule is disobeyed, the termination of future Membership potential, termination of the accrual of referral fees accruing after termination and the potential reporting of your actions to appropriate legal authorities. In keeping with our policy that our Members must make the rules of participation clear to their referrals, if a Member you refer is found to be in violation of our policy regarding SPAM referrals from that Member will be removed from your referral list and you will no longer receive credits for those transactions.
27. You understand that you may resign your Membership at any time by sending an email to us at sales@ThinkRelo.com with the word RESIGN in the title line. Resignation or termination of any Membership results in the permanent loss of the rights to your account. If you decide to cancel your membership and later wish to re-enroll you will not receive credit for referrals made using your previous account.
28. We make no express or implied warranties or representations with respect to the ThinkRelo.com^TM System, Referral Program or the potential to earn income from the Referral Program.
29. We make no express or implied warranties or representations that the operation of our site will be uninterrupted or error-free. We will not be liable for the consequences of any interruptions or errors.
30. We are not responsible for the accuracy, content or availability of content accessed or linked to via its services.
31. Members of the ThinkRelo.com^TM Referral Program have no obligation to make referrals and are not employees and considered independent contractors whose main business is the delivery of real estate services. Nothing in this Agreement will create any partnership, joint venture, agency, franchise, sales representative, or employment relationship between parties.
32. You will have no authority to make or accept any offers or representations on our behalf. Members are expressly prohibited from stating or implying, orally or in writing, that they are franchises, joint venture partners, partners, or employees of ThinkRelo.com^TM or RingSites.com Ltd.
33. You have no authority to represent us or to act on our behalf. You are not entitled to represent that you have the authority or ability to represent us through any media channel or service.
34. We are not responsible for the actions of Members and, as such, any complaint against a Member is to be directed to the Member directly.
35. If you contact any advertiser on the ThinkRelo.com^TM System you are solely responsible for the results from that contact and we will in no way be responsible for any damages or liability that might result. If you are contacting advertisers for the purposes of selling advertising services on the RingSites.com System you will abide by any and all rules and terms of service on the RingSites.com Web Site.
36. We cannot be held responsible for failure or delay resulting directly or indirectly from acts of nature, forces, or causes beyond its reasonable control, including, without limitation, Internet failures, telecommunication equipment failures, computer equipment failures, other equipment failures, electrical power failures, strikes, labor disputes, riots, insurrections, civil disturbances, shortages of labor or materials, wars, fires, floods, storms, explosions, acts of God, governmental actions, orders of domestic or foreign courts or tribunals, non-performance of third parties, or loss of or fluctuations in heat, light, or airconditioning.
37. Membership services are provided on an "as is" and "as available" basis. We disclaim any and all warranties of any kind, expressed or implied, including without limitation any warranty of merchantability, fitness for a particular purpose or non-infringement.
38. Members agree to indemnify and hold ThinkRelo.com^TM, its parents, subsidiaries, affiliates, officers and employees, harmless from any claim or demand, including reasonable attorneys fees, made by any third party due to or arising out of Member's use of the Referral Program, the violation of these conditions of membership, or the infringement by Member, or other user of the Referral Program using Member's computer, of any intellectual property or other right of any person or entity.
